Jon Klassen is a corporate partner at Kunzler Law Group, focusing on corporate and securities law for growing businesses. Mr. Klassen's practice covers a broad range of corporate matters, including corporate finance, mergers and acquisitions, and general company representation.
His corporate finance experience includes representation of issuers and investors in public and private offerings, including venture capital financings and strategic investments. His mergers and acquisitions experience includes representing clients in public and private mergers, joint ventures, and asset acquisitions and dispositions. Mr. Klassen also has acted as regular outside corporate and securities counsel for clients, gaining substantial expertise with Securities and Exchange Commission disclosure and reporting requirements; proxy statements and investor relations; NYSE and Nasdaq compliance; employment and executive compensation matters; and, drafting, reviewing and negotiating commercial agreements.
Prior to joining Kunzler, Mr. Klassen served as Executive Vice President, General Counsel and Secretary of BioMed Realty Trust, Inc., a NYSE-traded real estate investment trust (REIT) focused on providing real estate to the life science industry. Mr. Klassen joined the company shortly after its $400 million initial public offering, and participated in its growth to $8 billion in assets prior to its acquisition by affiliates of The Blackstone Group L.P. in 2016. Mr. Klassen served as a trusted advisor to the company and its board of directors, providing legal and business advice on commercial and financing transactions, corporate governance, risk management and insurance, human resources, investor relations, mergers and acquisitions, venture capital investing, intellectual property and tax matters. Mr. Klassen also oversaw the structuring, negotiation and closing of a variety of complex mergers and acquisitions, corporate finance, venture capital and commercial transactions.
Mr. Klassen began his career in law as a corporate associate at Latham & Watkins LLP, a full-service global law firm, where he focused on corporate finance transactions, mergers and acquisitions and general company representation. His clients included issuers, underwriters and investors in public and private offerings, including venture capital financings and strategic investments, and buyers and sellers in public and private mergers and asset acquisitions. He also acted as regular outside corporate and securities counsel to a number of clients, and represented clients across a variety of industries, including life science, healthcare, communications, wireless, retail and real estate.
Mr. Klassen earned his J.D. degree, cum laude and Order of the Coif (top 10%), from the University of Pennsylvania Law School, and a Bachelor of Arts in Economics from the University of Pennsylvania College of Arts & Sciences. He is a member of the California State Bar, and volunteers as a Court Appointed Special Advocate for foster children.
